Proskauer Rose LLP has announced that Daniel J. Eisner, who has vast expertise in private equity and complex corporate transactions of all types, has joined the firm as a partner and Nigel Austin, whose practice focuses on corporate and private equity transactions, has joined as a senior counsel. Both will be based in the firm's New York office.
Mr. Eisner brings significant legal and transactional experience in structuring and negotiating private equity-sponsored buyouts and other complex recapitalizations and financings.
Mr. Eisner and Mr. Austin join Proskauer from Akin, Gump, Strauss, Hauer & Feld LLP, where Mr. Eisner was a partner and Mr. Austin was counsel. Before joining Akin Gump, Mr. Eisner was a partner in the New York office of Kirkland & Ellis LLP. In addition, he has spent six years as an investment professional at Citicorp, DLJ and Bankers Trust Company. He is also listed in the 2006 edition of 'The Best Lawyers in America.'
Proskauer's Private Equity Group is comprised of a team of 100 professionals in the firm's U.S. and Paris offices with years of experience representing private investment funds in all aspects of their activities.
With the granting and exercising of corporate stock options coming under increased and intense scrutiny, Proskauer Rose LLP has formed a special multi-disciplinary Stock Options Task Force to work with public companies in all matters relating to stock option-related issues, including internal and governmental investigations, corporate governance issues, and tax, accounting and Sarbanes-Oxley ramifications.
The Task Force is co-headed by the following partners: litigator Robert J. Cleary, co-chair of the firm's Corporate Defense and Investigations Practice Group and a former U.S. Attorney; corporate partner Peter Samuels, and tax/employee benefits partners Michael Sirkin and Andrea Rattner. The Task Force includes more than 25 senior attorneys with extensive experience representing companies, boards of directors, and special committees in the complex and interrelated areas implicated by the stock option investigations.
Given the quarter close and recent auditor interest in these issues, Proskauer will host a webinar on the current issues and best practices in the coming weeks. For more information, contact the co-chairs or any Task Force member, who can be found on the firm's website. Contact information for the co-chairs is: Robert J. Cleary (212) 969-3340 or firstname.lastname@example.org; Peter G. Samuels (212) 969-3335 or email@example.com; Michael S. Sirkin (212) 969-3840 or firstname.lastname@example.org, and Andrea S.
