Weil Advises Oracle in Back-to-Back Acquisitions of Textura and Opower

Weil is advising Oracle in two separate all-cash acquisitions of technology companies Textura and Opower. The deals were announced days apart and have a combined value of approximately $1.2 billion. Both transactions are expected to close in 2016, subject to certain regulatory approvals and other customary closing conditions.

Announced on April 28, Weil represents Oracle in its definitive agreement to acquire Textura, a leading provider of construction contracts and payment management cloud services, for $26.00 per share in cash. The transaction is valued at approximately $663 million.

Announced on May 2, Weil is advising Oracle in its definitive agreement to acquire Opower, the leading provider of customer engagement and energy efficiency cloud services to utilities, for $10.30 per share in cash. The transaction is valued at approximately $532 million.

Mergers & Acquisitions partners Keith Flaum and Jim Griffin are leading the two Weil teams.
