Proskauer Client Grifols Acquires Novartis’ Business Diagnostics Unit For $1.7 Billion

Proskauer has announced that it represented Grifols, together with Grifols’ general counsel Osborne Clarke SLP, in its $1.675 billion agreement to acquire the transfusion diagnostics unit of Novartis. The assets acquired include diagnostic products and technology for transfusion medicine and immunology, a manufacturing plant in the U.S., and commercial offices in the United States, Switzerland and Hong Kong.

The transaction is part of Grifols’ growth strategy to complement its range of plasma protein therapies with other diagnostic products and services. The unit will also help to strengthen the company’s worldwide footprint in providing integrated solutions for blood and plasma donor centers from donation to transfusion. The transaction is expected to close in the first half of 2014 upon customary regulatory approvals.

Proskauer has advised Grifols, a longtime client of the firm, on several matters in recent years, including the company’s $3.4 billion acquisition of Talecris Biotherapeutics in 2010.

  • Richard Corn (New York) is a tax lawyer, who advises clients on mergers and acquisitions, cross-border transactions, joint ventures, structured financings, equity and debt issuances, and bankruptcy-related transactions.
  • Keisha-Ann Gray (New York) focuses her practice on labor and employment law, representing clients in both the private and public sectors. An experienced trial lawyer, she regularly litigates sexual harassment, race, age, gender and disability discrimination, retaliation and wrongful termination claims before federal and state courts.
  • Glen Lim (Los Angeles) focuses on the representation of banks and other financial institutions as lenders and strategic investors, and buyout funds and corporations as borrowers, in connection with domestic and international financings.
  • Michael Suppappola (Boston) is a corporate lawyer focusing on the representation of private investment funds, funds of funds and investment advisers.  He counsels U.S. and non-U.S. sponsors on all aspects of the fund formation and capital raising process.
