Alan F. Kornstein has joined McCarter & English, LLP’s Newark office as a partner in the Tax & Employee Benefits Group. He will focus on tax planning and tax disputes involving complex commercial and personal transactions.

Mr. Kornstein advises on the tax implications of organization and operation of business and investment entities, mergers and acquisitions and business restructurings, including tax-free reorganizations, real estate transactions and insolvency situations. He is well-versed in tax planning for business and investment transactions involving partnerships, LLCs and closely-held corporations, including the structuring and drafting of partnership agreements, LLC operating agreements, equity-raising transactions and buy/sell agreements.
Client representation includes individuals, partnerships and corporations involved in tax disputes with the Internal Revenue Service and the New Jersey Division of Taxation. In addition, Mr. Kornstein advises clients on tax-efficient settlement alternatives for commercial and personal disputes, including “business divorces” and matrimonial situations.
Mr. Kornstein was previously chair of the New Jersey State Bar Association’s Taxation Law Section and Partnership Taxation Committee. He has also served as chair of the Essex County Bar Association’s Tax, Trusts & Estates Committee.
