Proskauer announced the continued expansion of its capital markets practice and securities regulatory capabilities with the addition of Partner Frank Zarb in Washington, DC, who brings a wealth of public and private sector experience to the firm's multidisciplinary platform.
Mr. Zarb focuses his practice on regulatory matters under U.S. securities laws, as well as on corporate finance transactions. He represents public and private companies in addition to broker-dealers and other financial intermediaries on regulatory compliance matters, including public disclosure and periodic reports, compliance with federal and stock exchange requirements, matters involving federal proxy rules and shareholder communications, and new regulations under the Dodd-Frank Act.
Most recently a Partner with Katten Muchin Rosenman LLP, Mr. Zarb also served at the Securities and Exchange Commission, including as special counsel in the Office of Chief Counsel and in the Office of International Corporate Finance. He was also deputy general counsel/chief securities counsel for Bristol Myers Squibb Co.
Proskauer has expanded its global transactional and private equity practices with the addition of partners Russell T. Carmedy and Michael Nouril to the firm's London office.
Mr. Carmedy focuses his practice on M&A matters, including private M&A transactions, public takeover bids and leveraged private equity deals. He has a wealth of experience advising clients on UK transactions as well as cross-border matters encompassing the U.S. and Asia. He has also advised both issuers and underwriters on equity capital markets work, including IPOs, fundraisings, reorganizations and public tender offers.
In addition to his transactional practice, Mr. Carmedy is active in the area of corporate governance, working with directors to resolve issues relevant to their fiduciary duties and regulatory obligations, and he frequently advises clients with respect to issues arising from the interaction of the legal regimes of the European Union, UK and U.S.
Mr. Nouril handles a wide range of private equity, M&A and other corporate transactions. He has an extensive background in UK and global private equity deals, including leveraged and management buyouts, public to privates, strategic investments, growth capital and venture capital, as well as multi-jurisdictional M&A transactions.
Mr. Nouril represents private equity funds, hedge/hybrid funds, quoted and non-quoted companies, corporate finance intermediaries and management teams, as well as entrepreneurs and family offices. Other transactions he handles include joint ventures, public bids, real estate asset-based deals and seller auction processes.
