This seminar will review four relevant areas of impact that a corporate internal investigation may have on a company and its corporate counsel. The first part is a look at the organizational impact when in-house counsel participates in an internal investigation and the personal dynamics and relationships with the board and the audit committee that may be altered by significant challenges.
The second segment will analyze the legal aspects, such as ethical considerations, conflict of interest matters and confidentiality concerns for all involved.
The third portion will look into the external problems when dealing with state, federal, and civil regulators and coordinating with outside counsel. The final discussion will offer sources of guidance by reviewing relevant cases, ethical rules and bar association standards.
