On Thursday, February 9, the District of Columbia Bar presents The SEC Staff, Alliance Advisors & Private Practitioners Discuss Contested M&A Transactions/Proxy Fights.

An expert panel of SEC staff, private practitioners and representatives from proxy solicitor and corporate governance advisory firm Alliance Advisors will discuss their experiences with proxy contests and contested M&A transactions. The panel detail observations and recent trends in contested matters, including hostile tender offers, contested M&A transactions, and contests for board representation. The panel will also provide their predictions regarding contests for the 2012 proxy season, particularly in light of the implementation of the provisions of the Dodd-Frank Act that speak to proxy contests, the expected fallout from the DC Circuit Court’s challenge to the SEC’s proxy access rules and the likely impact that decision will have on the number of proxy contests in the upcoming season. Ms. Tina Chalk, senior special counsel, U.S. SEC, will discuss the SEC staff’s process for reviewing contested matters, and Mr. Waheed Hassan, managing partner, Alliance Advisors, will provide an overview of how Institutional Shareholder Services (ISS) evaluates contested matters when determining its shareholder vote recommendation.
