The Charlotte Chapter of the Association of Corporate Counsel offers a luncheon program on negotiations titled How to Keep the Deal You Think You’ve Negotiated.

The seminar is on Wednesday, September 7, at Byron’s South End, 101 W. Worthington in Charlotte, North Carolina. It begins at noon and ends at 1:30 p.m.

Whether an M&A deal, outsourcing transaction, or joint venture, corporate transactions involve a number of complex issues that can adversely affect the ultimate success of the deal if not anticipated and structured properly.  In-house counsels are charged with not only documenting the transaction properly, but also managing the post-closing risks that could disrupt the deal you thought you obtained.  This panel discussion will include real life examples of transactions that were impacted by a number of post-closing developments.  The panel discussion will include topics such as: earn-outs, installment payments and financing alternatives; post-closing covenants; employment and non-compete agreements; preserving business and customer relationships; indemnification claims; insurance; and ERISA and employee benefit matters.
