The University of Texas School of Law CLE this month will present its Second Annual Mergers and Acquisitions Institute.

The conference will take place on Thursday and Friday, September 7 and 8 at the Fairmont Hotel, Dallas. Sessions will run from 9 a.m. to 5:30 p.m. on day one and from 9 a.m. to 3 p.m. on day two.

Among the topics to be addressed are:

  • The role of hedge funds in the current M&A market, including tactics used to coerce change and defend against hedge fund attacks;
  • Deal protection - state-of-the-art negotiating and drafting techniques;
  • Roundtable of corporate deal makers - what they look for, what they avoid, and how they do deals;
  • Strategies for ethical issues - avoiding fraud after the contract, conduct of negotiations, and multijurisdictional aspects of M&A practice.
  • The institute co-chairs are Wilson Chu, Haynes and Boone, LLP, and Lawrence E. Glasgow, Gardere Wynne Sewell LLP. Among the speakers are Bob L. Boldt, University of Texas Investment Management Company; Juan R. Figuereo, Wal-Mart Stores, Inc.; Stuart C. Rogers, Credit Suisse Securities (USA) LLC, and Glenn D. West, Weil, Gotshal & Manges LLP.
