ASCS To Present Two-Day Course In Arizona: Essentials Of The Corporate Secretarial Function

Essentials of the Corporate Secretarial Function, an intensive two-day course designed to serve as an introduction to the broad range of duties associated with the corporate secretary's office, will be held on Thursday and Friday, January 29 and 30 at the Hilton Scottsdale Resort, 6333 North Scottsdale Road, Scottsdale, Arizona.The course is sponsored by the American Society of Corporate Secretaries and co-sponsored by CCH Incorporated, which publishes The Corporate Secretary's Guide in cooperation with the Society.

Kathleen E. Shannon, senior vice president, general counsel and secretary, American International Group, Inc., will chair the seminar.

An experienced faculty, comprised of senior members of ASCS, will offer advice on how to handlethe many responsibilities of corporate secretaries and their staff, especially in the post-Sarbanes-Oxley environment.The seminar will deal with the following questions:

• What are the secretary's major powers and responsibilities?

• How do secretaries interact with the board, management, shareholders and regulators?

• What is involved in planning and organizing a board, committee and shareholder meetings or in carrying out a successful proxy solicitation?

• What does a secretary need to know about disclosure and other requirements of the SEC and securities markets - whether you're a lawyer or not?

• What are some of the "inside" secrets of good governance at private companies?

• What do secretaries need to know about automation, abandoned property administration and records management?

In addition to practical instruction in the areas of primary concern to corporate secretaries and their staff, seminar attendees will receive comprehensive program workbooks and speakers' handouts with samples of actual forms.All will have the opportunity to meet and work with experienced faculty members and to network with fellow attendees from around the country.
